1. Acceptance of Terms

These Terms of Service ("Terms") govern your access to and use of the websites, applications, and services operated by Vagary Labs LLP ("Vagary Labs LLP", "we", "our", "us") — including those delivered under the Vagary Labs technology and R&D division. Products covered include but are not limited to: Vagary Voice, Bellring, Aakhara, Pulseboard, and the Vagary Platform substrate (including Index of News). By accessing or using any of our services, you agree to be bound by these Terms and by our Privacy Policy. Individual products may publish supplemental terms; in case of conflict, supplemental terms applicable to that product control over these umbrella Terms for the subject matter they address.

1a. Who you are contracting with

This matters more than it usually does, so it is stated up front rather than buried.

  • Business invoices and Indian customers — you contract with Vagary Labs LLP directly. We are the seller, we issue the invoice, and these Terms govern in full.
  • Self-serve subscriptions purchased online — the purchase is completed through a merchant of record, a payment company that acts as the legal seller for that transaction. It processes the payment, issues the receipt, and is responsible for charging and remitting the sales tax, VAT or GST applicable where you are.

Where a merchant of record is used, three things follow, and you should know all three:

  1. Your card statement will show that company's descriptor, not ours. This is normal and is not an unrecognised charge.
  2. Its terms of sale govern the payment transaction itself. These Terms continue to govern your use of the service.
  3. A refund may need to be processed by it rather than by us. We remain your first point of contact and will not use this as a reason to send you away — see Refund and Cancellation.

The service you receive, the obligations we owe you under these Terms, and our responsibility for the product are unchanged either way. The merchant of record sells the transaction; it does not operate the service.

2. Eligibility

You must be of legal age to form a binding contract under Indian law, or use the service under the supervision of a parent or guardian who accepts these Terms on your behalf. If you are using our services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms. Our services are not directed at children, and where we process a child's personal data we require verifiable parental or guardian consent first (see Section 10 of our Privacy Policy).

3. Accounts

  • You are responsible for maintaining the confidentiality of your account credentials.
  • You are responsible for all activity that occurs under your account.
  • You must provide accurate, current, and complete information at registration and keep it updated.
  • We may suspend or terminate accounts that violate these Terms, applicable law, or that have been inactive for an extended period.
  • You must notify us promptly of any unauthorised use of your account at [email protected].

4. Acceptable Use

You agree not to, and not to permit any third party to:

  • Use our services to violate any applicable law, regulation, or third-party right (including intellectual property and privacy rights).
  • Send unsolicited bulk communications ("spam"), commit fraud, or distribute malware.
  • Interfere with, disrupt, or compromise the security or integrity of our services or infrastructure.
  • Reverse engineer, decompile, or attempt to extract source code, except to the extent that such activity is expressly permitted by law.
  • Use automated means (scrapers, bots, harvesters) to access our services in a manner that exceeds reasonable use or that is not permitted by the applicable product's documented API contract.
  • Use our services to generate, store, or distribute content that is illegal, harmful, or that exploits or endangers minors.
  • Resell, sublicense, or commercially redistribute our services without our prior written consent, except where expressly permitted (e.g. through a Bellring whitelabel arrangement).

5. Subscriptions, Fees, and Payment

Some of our products are offered on a paid subscription basis. By subscribing to a paid plan, you agree to the following:

  • Billing: fees are charged in advance on a recurring basis (monthly or annual, depending on the plan).
  • Taxes: all fees are exclusive of applicable taxes (including GST in India), which you are responsible for paying.
  • Renewal: subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • Refunds: except where required by law, fees are non-refundable once a billing period has begun. Where a product publishes its own refund policy, that policy controls for that product and sets out the applicable service-failure remedy and processing time.
  • Price changes: we may change prices with at least 30 days' notice; changes take effect at the next billing period.
  • Payment processors: payments are processed by Stripe and/or Razorpay; their respective terms also apply.

6. Intellectual Property

6.1 Our IP

All rights, title, and interest in and to our services, software, content, trademarks, logos, and other intellectual property remain with Vagary Labs LLP or our licensors. These Terms do not grant you any right or licence except as expressly set out.

6.2 Your content

You retain ownership of any content you submit to our services ("User Content"). You grant Vagary Labs LLP a worldwide, non-exclusive, royalty-free licence to host, store, process, transmit, display, and adapt User Content solely to the extent necessary to operate, provide, and improve the services for you. You represent and warrant that you have all rights necessary to grant this licence.

6.3 Feedback

If you provide feedback, suggestions, or ideas about our services, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback without obligation to you.

7. Third-Party Services

Our products integrate with third-party services (for example, payment processors, AI providers, analytics, and communication providers). Your use of those third-party services is governed by their own terms. We are not responsible for third-party services and disclaim any liability arising from your use of them.

8. Privacy

Your use of our services is also subject to our Privacy Policy, which describes how we collect, use, and protect personal information.

9. Service Availability and Modifications

  • We strive for high availability but do not guarantee that our services will be uninterrupted, error-free, or completely secure.
  • We may modify, suspend, or discontinue any part of our services at any time, with or without notice. Where reasonably practicable, we will provide advance notice for material changes that adversely affect paid customers.
  • Scheduled maintenance windows will be announced in advance through status pages or in-product notices.

10. Disclaimers

To the maximum extent permitted by law, our services are provided "as is" and "as available" without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted operation. AI-generated outputs may contain errors, biases, or omissions; you are responsible for reviewing such outputs before relying on them.

11. Limitation of Liability

To the maximum extent permitted by law, in no event will Vagary Labs LLP, its officers, directors, employees, or agents be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages — including loss of profits, data, goodwill, or business — arising out of or in connection with your use of our services, even if advised of the possibility of such damages.

Our aggregate liability arising out of or relating to these Terms or our services shall not exceed the amount you paid us for the service in the three (3) months preceding the event giving rise to the claim.

The limitations in this section do not apply to liability that cannot be excluded or limited under applicable law (including in cases of gross negligence, wilful misconduct, or death or personal injury caused by our negligence).

12. Indemnification

You agree to indemnify, defend, and hold harmless Vagary Labs LLP and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to: (a) your use of our services in breach of these Terms; (b) your violation of any applicable law; (c) your infringement of any third-party right; or (d) User Content you submit.

13. Termination

  • You may terminate your account at any time through in-product controls or by emailing [email protected].
  • We may suspend or terminate your access to all or part of our services at any time, with or without notice, if we believe in good faith that you have violated these Terms or that termination is necessary to protect our services, our users, or third parties.
  • Upon termination, your right to access the services ceases; sections of these Terms that by their nature should survive termination (including IP, disclaimers, limitation of liability, indemnification, and dispute resolution) will survive.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-laws principles. Subject to the right of either party to seek injunctive relief in any court of competent jurisdiction, any dispute arising out of or relating to these Terms or our services shall be subject to the exclusive jurisdiction of the competent courts at Satna, Madhya Pradesh, India — the jurisdiction of our registered office — without prejudice to any binding arbitration or consumer-forum provision that applies to you by law.

15. Changes to These Terms

We may revise these Terms from time to time. Material changes will be notified by email (to account holders) and by a notice on this page. Continued use of our services after a change becomes effective constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the services and may terminate your account.

16. Miscellaneous

  • Entire agreement: these Terms, together with our Privacy Policy and any supplemental product terms, constitute the entire agreement between you and Vagary Labs LLP regarding the services.
  • Severability: if any provision of these Terms is held unenforceable, the remaining provisions will remain in full force.
  • No waiver: our failure to enforce any right or provision will not be deemed a waiver.
  • Assignment: you may not assign these Terms without our prior written consent; we may assign these Terms (e.g. in connection with a merger, acquisition, or sale of assets) without your consent.
  • Notices: we may send notices to the email address associated with your account; notices to us must be sent to [email protected].

17. Grievance Officer

In accordance with the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021 and India's Digital Personal Data Protection framework, Vagary Labs LLP designates a Grievance Officer to receive complaints about the service or about content published on it, including content-takedown and editorial-correction requests:
